2. WHAT'S MISSING: protections I'd expect for my side that aren't there (kill fee, late-payment interest, revision limits, liability cap).
3. THE ASKS: for the top 3 issues — the specific replacement wording to request, and the
negotiation line to deliver it ("Standard in my agreements is X — can we align on that?").
4. WALK-AWAY TEST: is anything here a dealbreaker at this deal size, or is it all negotiable
friction?
